Client Service Agreement

Work Decoded LLC  ·  Effective Date: February 20, 2026

This Client Service Agreement (“Agreement”) is entered into between:

Work Decoded LLC (“Work Decoded,” “we,” “us,” “our”)
444 North Capitol ST NW, STE 612 #954, Washington, DC, 20001

AND

You, the Client (“Client,” “you,” “your”)

This Agreement outlines the terms and conditions under which Work Decoded will provide workplace advocacy and career guidance services to you (“Client,” “you,” “your”). By booking a session with Work Decoded, you acknowledge that you have read, understood, and agree to be bound by its terms.

1. Services Provided

1.1 Scope of Services

Work Decoded will provide the following services to you:

  • Single 30-minute consultation with a certified HR professional
  • Multi-session package (number of sessions and validity period as agreed upon at time of purchase)
  • Specific service as selected during your intake process

Your assigned consultant and consultant tier (Consultant, Senior Consultant, or Premium/Complex) will be confirmed prior to your session.

1.2 What Our Services Include

During your consultation(s), we will:

  • Review your intake form and understand your workplace situation
  • Provide strategic guidance and advice based on our HR expertise
  • Discuss your options and help you develop an action plan
  • Answer your questions about workplace dynamics, HR processes, and career decisions
  • Provide resources, templates, or tools as appropriate

1.3 What Our Services Do NOT Include

  • Legal advice or legal representation — We are not attorneys. For legal matters, consult a licensed employment attorney.
  • Mental health counseling — We are not therapists. For mental health support, consult a licensed therapist or counselor.
  • Direct intervention with your employer — We do not contact your employer, HR department, or colleagues on your behalf.
  • Guarantees of specific outcomes — We provide guidance, but cannot guarantee employment results, promotions, salary increases, or legal outcomes.
  • Emergency crisis services — For mental health emergencies, contact 988 (National Suicide Prevention Lifeline) or seek immediate medical help.

2. Professional Relationship

2.1 Nature of Relationship

The relationship between you and Work Decoded is that of client and consultant.

This Agreement does NOT create:

  • An attorney-client relationship
  • An employer-employee relationship
  • A therapeutic counselor-client relationship
  • A fiduciary relationship
  • Any other relationship beyond professional consulting

2.2 No Attorney-Client Privilege

Consultations with Work Decoded are confidential but NOT protected by attorney-client privilege.

  • We will keep your information confidential (see Section 5)
  • However, our communications could potentially be subject to subpoena or legal discovery
  • If you have legal concerns, consult with a licensed attorney to ensure privilege protection

2.3 Consultant Qualifications

Your consultant is a certified HR professional with:

  • PHR, SHRM-CP, SPHR, or SHRM-SCP certification
  • 5–10+ years of experience in human resources or employee relations
  • Training in Work Decoded’s methodology and approach

Your consultant is an independent contractor, not an employee of Work Decoded.

3. Your Responsibilities

3.1 Provide Accurate Information

  • Provide truthful, complete, and accurate information in your intake form and during consultations
  • Update us if your situation changes significantly
  • Disclose any relevant facts, including whether you have consulted with an attorney

3.2 Attend Scheduled Consultations

  • Arrive on time for your scheduled consultation (video or phone)
  • Have a quiet, private space for the consultation
  • Test your technology (internet, video, audio) before the session
  • Notify us at least 24 hours in advance if you need to cancel or reschedule

3.3 Take Responsibility for Your Decisions

  • Understand that you are solely responsible for any decisions or actions you take based on our guidance
  • Recognize that outcomes depend on many factors outside our control
  • Consult with appropriate professionals (attorneys, accountants, therapists) when necessary

3.4 Respectful Conduct

  • Treat your consultant and Work Decoded staff with respect and professionalism
  • Do not record consultations without prior written consent
  • Do not harass, threaten, or abuse consultants or staff

Failure to meet these responsibilities may result in termination of services without refund.

4. Fees and Payment

4.1 Service Fees

You agree to pay the following fees for services:

  • Consultant (PHR/SHRM-CP): $100 / 30-min session
  • Senior Consultant (SPHR/SHRM-SCP): $125 / 30-min session
  • Premium/Complex (SPHR/SHRM-SCP Senior): $150 / 30-min session

Session packages may also be available. Package pricing, number of sessions, and validity periods will be confirmed at the time of purchase.

4.2 Payment Terms

  • Payment is due at the time of booking (for single sessions) or package purchase
  • We accept credit cards, debit cards, and other methods processed through our secure payment processor
  • All fees are in U.S. dollars (USD)
  • Applicable sales tax may be added based on your location

4.3 Refund Policy

Single sessions:

  • Refundable if you cancel more than 24 hours before your scheduled consultation
  • Non-refundable if you cancel less than 24 hours before, or if the consultation has occurred

Packages:

  • Non-refundable
  • Unused sessions may be transferred to another person with advance notice
  • Sessions expire at the end of the package validity period

5. Confidentiality and Privacy

5.1 Our Commitment to Confidentiality

Work Decoded treats all information you share with us as confidential.

  • We will not disclose your information to your employer, HR department, or colleagues
  • We will not share it with third parties (except as required by law or with your written consent)
  • We will not share it with other clients

5.2 Information Sharing Within Work Decoded

Your information may be shared internally with:

  • Your assigned consultant (who will review your intake form and conduct your consultation)
  • Work Decoded administrators (for scheduling, billing, quality assurance)

All Work Decoded consultants and staff are bound by confidentiality agreements.

5.3 Limits of Confidentiality

Confidentiality may be limited or breached if:

  • Required by law (court order, subpoena, government investigation)
  • Necessary to prevent harm (if we reasonably believe disclosure is needed to prevent serious harm to you or others)
  • With your consent (if you provide written authorization to share your information)
  • For business purposes (anonymized data may be used for training, quality improvement, or marketing — with no identifying details)

5.4 Privacy Policy

Our collection, use, and protection of your personal information is governed by our Privacy Policy. Please review it carefully.

6. Disclaimers and Limitations

6.1 No Guarantees or Warranties

Work Decoded makes no guarantees about the results of our services.

We do not warrant or guarantee that our guidance will result in:

  • Job retention, promotions, or salary increases
  • Successful resolution of workplace conflicts
  • Avoidance of termination or adverse employment actions
  • Favorable legal outcomes
  • Any other specific outcome

Your results depend on many factors outside our control, including your employer’s decisions, your actions, economic conditions, and other circumstances.

6.2 Professional Judgment

Our consultants provide guidance based on their professional experience and judgment. However:

  • Every workplace situation is unique
  • We may not have complete information about your situation
  • Our advice reflects our professional opinion, not a guarantee of success
  • You should use your own judgment when deciding how to proceed

6.3 Limitation of Liability

To the fullest extent permitted by law, Work Decoded and its consultants shall not be liable for any damages arising from your use of our services, actions you take (or fail to take) based on our guidance, your employer’s decisions or actions, or any other circumstances related to your workplace situation.

Our total liability to you shall not exceed the fees you paid for the specific service(s) at issue.

7. Indemnification

You agree to indemnify and hold harmless Work Decoded, its consultants, employees, and affiliates from any claims, damages, or expenses (including attorneys’ fees) arising from your use of our services, actions you take based on our guidance, your breach of this Agreement, or your violation of any laws or third-party rights.

8. Termination

8.1 Termination by You

You may terminate this Agreement at any time by notifying us in writing (email) that you wish to discontinue services or by not scheduling additional consultations (if using a package).

Upon termination by you:

  • Any unused package sessions will expire (no refund)
  • You remain responsible for payment of any fees owed

8.2 Termination by Work Decoded

We may terminate this Agreement immediately if:

  • You violate the terms of this Agreement
  • You engage in harassment, threats, or abusive behavior toward our consultants or staff
  • You provide false or misleading information
  • We determine we cannot ethically or effectively serve you
  • You fail to pay fees owed

Upon termination by us:

  • We will notify you in writing (email)
  • You will not receive a refund for services already rendered or packages purchased
  • You will not be permitted to use our services in the future

9. Governing Law and Dispute Resolution

9.1 Governing Law

This Agreement is governed by the laws of the District of Columbia and the United States, without regard to conflict of law principles.

9.2 Dispute Resolution

If a dispute arises:

  1. Informal Resolution: Contact us at support@workdecodedhq.com. We will work in good faith to resolve the issue.
  2. Arbitration: If informal resolution fails, disputes will be resolved through binding arbitration (not court), as outlined in our Terms of Service.

You waive the right to participate in class action lawsuits or class-wide arbitration.

10. Miscellaneous

10.1 Entire Agreement

This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Work Decoded regarding your use of our services.

10.2 Amendments

We may update this Agreement from time to time. If we make material changes, we will notify you and ask you to review the updated Agreement.

10.3 Severability

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

10.4 Waiver

Our failure to enforce any provision of this Agreement does not waive our right to enforce it in the future.

10.5 Assignment

You may not assign or transfer this Agreement without our written consent. We may assign this Agreement to a successor or affiliate.

11. Acknowledgments and Consent

By booking a session with Work Decoded, you acknowledge and agree that:

  • You have read and understood this Client Service Agreement in its entirety
  • You have read and agree to Work Decoded’s Terms of Service and Privacy Policy
  • You understand that Work Decoded provides workplace guidance and advocacy, not legal advice
  • You understand that consultations are confidential but not protected by attorney-client privilege
  • You are solely responsible for decisions and actions you take based on Work Decoded’s guidance
  • You understand that Work Decoded makes no guarantees about the outcomes of its services
  • If your situation involves potential legal issues (discrimination, harassment, retaliation, wrongful termination, etc.), you understand you should consult with a licensed employment attorney
  • You agree to provide accurate information and treat consultants and staff with respect
  • You agree to pay the fees for services as outlined in this Agreement
  • You consent to Work Decoded’s collection, use, and storage of your personal information as described in the Privacy Policy
By booking a session with Work Decoded, you agree to the terms of this Client Service Agreement. You will be asked to confirm your acknowledgment of these terms during the intake process prior to your consultation.
